Directors and Officers Liability Insurance

Many AAUW branches and states already have or are considering acquiring directors and officers (D&O) liability insurance. If your organization has not yet acquired this protection, it is advisable to consider it.

What is it?

D&O liability insurance covers your board of directors and officers for losses or advancement of defense costs in the event that the insured people suffer loss as a result of a legal action brought for alleged wrongful acts in their capacity as directors and officers. Such coverage can extend to defense costs arising out of investigations or trials, because sometimes civil and criminal actions are brought against directors and officers simultaneously.

How do I get it?

Many insurance agencies offer D&O coverage, but availability and cost vary widely. Several years ago, at the request of AAUW member leaders, the company that indemnifies AAUW developed a liability product with a group rate available to all AAUW-affiliated entities. Many AAUW branches have purchased this product. Note that in some areas, local rates may be less expensive than the negotiated group rate available to you through this plan.

What is AAUW’s role in this insurance?

We want all AAUW-affiliated entities to know about the protections that D&O liability insurance offers and that our group rate is available. Any acquisition decision, however, is entirely discretionary. AAUW neither endorses this insurance product or agency nor in any way benefits from any coverage purchase.
